Terms of Service

These Terms of Service ("Terms") govern your access to and use of the RidgeOS platform, websites, and related services (the "Service") provided by RidgeOS ("RidgeOS", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.

1. The Service

RidgeOS provides software for roofing companies, including AI-powered lead capture, missed-call text-back, follow-up automation, review requests, CRM, marketing tools, reporting, and related features described on our website. Features available to you depend on the plan you purchase.

2. Accounts

You must provide accurate information when registering and keep it current. You are responsible for safeguarding your credentials and for all activity that occurs under your account. You must be of legal age to form a binding contract in your jurisdiction.

3. Acceptable Use

You agree not to:

  • use the Service for any unlawful, fraudulent, or deceptive purpose;
  • send spam, unsolicited messages, or violate telecom laws (including TCPA) when using messaging features;
  • infringe intellectual property, privacy, or other rights of any party;
  • upload malware, scrape the Service, probe for vulnerabilities, or interfere with its operation;
  • reverse engineer, decompile, or attempt to extract the source code of the Service;
  • resell, sublicense, or share access outside the seats you have purchased.

4. Customer Content

You retain ownership of the data, leads, messages, and other content you submit ("Customer Content"). You grant RidgeOS a limited, worldwide license to host, process, transmit, and display Customer Content solely to operate and improve the Service for you. You are responsible for ensuring you have all necessary rights and consents to provide Customer Content to us, including consent to contact your leads.

5. Intellectual Property

RidgeOS and its licensors retain all rights, title, and interest in the Service, including all software, models, documentation, and branding. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription term.

6. AI Features

The Service uses artificial intelligence to draft messages, summaries, and recommendations. AI outputs may be inaccurate or incomplete and are not a substitute for professional judgment. You are responsible for reviewing AI-generated content before it is sent to customers and for ensuring it complies with applicable laws and your brand standards. You must not use the AI features to generate unlawful, deceptive, or harmful content.

7. Payments and Subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment terms, billing frequency, taxes, currency, and refund mechanics are governed by the Paddle Checkout Buyer Terms. Subscriptions renew automatically at the end of each billing period until canceled. You may cancel anytime; cancellation takes effect at the end of the then-current billing period.

8. Third-Party Services

The Service may integrate with third-party tools (e.g., Google Business Profile, QuickBooks, Jobber, CompanyCam, Twilio). Your use of those services is governed by their respective terms. We are not responsible for third-party services.

9. Service Availability

We work to keep the Service available and performant, but we do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Suspension and Termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious violations of our policies. You may stop using the Service at any time. Upon termination, your right to access the Service ends; we will make Customer Content available for export for a reasonable period (typically 30 days), after which it may be deleted.

11. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or related to these Terms will not exceed the fees you paid to us (or to Paddle for the Service on your behalf) in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be excluded under applicable law (e.g., fraud, death, or personal injury caused by negligence).

12. Indemnification

You will defend and indemnify RidgeOS against any third-party claim arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

13. Changes to the Terms

We may update these Terms from time to time. If we make material changes, we will notify you (e.g., via email or in-product notice). Continued use of the Service after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict of laws rules. The exclusive venue for any disputes is the state and federal courts located in Travis County, Texas, and each party consents to personal jurisdiction there.

15. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

16. Force Majeure

Neither party is liable for delay or failure to perform due to causes beyond its reasonable control, including natural disasters, internet or utility outages, labor disputes, or government action.
